Hello! Thank you for choosing SpringUp (“SpringUp”, “we”, “us”, “our”)! By using this website and our other services (“Services”), you enter into a legally binding agreement with us. This includes an agreement to our Terms and Conditions of Use (“Terms”), to our Privacy Policy, as well as to any other terms displayed to you when you use our Services (which, altogether, comprise the “Agreements”). If you do not agree entirely to abide by the Agreements, please do not access or otherwise use our Services.

To use our Services, you take all responsibilities and obligations as they apply in your State within Australia. This agreement is governed by and in accordance with the laws of Queensland, Australia. You and SpringUp agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia to resolve any legal matters arising in connection to these Agreements.

2.1 Copyright, trademarks, and ownership

Copyright in the material are owned by SpringUp unless otherwise indicated. You agree to not to infringe any intellectual property rights held by SpringUp or others.

You acknowledge that the information included on this website is for personal use only, and may not be sold, redistributed or used for any commercial purpose. You agree to not modify, copy, reproduce, republish, post, transmit or distribute in any way any material from this website that is not owned by you, except with prior written consent from us and/or the material’s owner (such as the Member owning a profile).

You own all the content, feedback, and personal information you provide to us. However, you also agree that we may reproduce, distribute, and publicly display any material that you submit to any public areas of the website (including but not limited to profiles and reviews) without any further consent, notice and/or compensation to you or others. We will not include any content you post on our website (such as profiles) in advertisements for our or others’ products and services without your expressed consent.

Ownership of profiles purchased from SpringUp

When you purchase profile-writing services from SpringUp, we provide you with a completed profile that serves to promote you and/or your business. You own all material purchased by you from SpringUp (such as completed profiles), and may use such material at your discretion, including by distributing or publishing this material. However, you agree to acknowledge that all material purchased from and provided to you by SpringUp was created and composed by SpringUp, by using the note “This material was composed by SpringUp.” when re-publishing or re-distributing such material.

2.2 Accuracy of content from other members

We do not guarantee that details provided by our members (including but not limited to details and descriptions on profiles of businesses and reviews of businesses) are truthful, accurate and complete. We do not endorse, recommend, are affiliated or associated with, any of the businesses or other Members, featured on this website.

You agree that it is entirely your responsibility to evaluate the accuracy, completeness and usefulness of all details, opinions, advice, services and other information included on our website. You agree that SpringUp will not be held liable for any decision made or action taken by you or anyone else in reliance upon any information contained on or omitted from the website.

2.3 Information you provide us

You agree to only provide us information you have the right to provide. You agree to not provide us any information or material that is malicious, threatening, obscene, harassing, or otherwise unlawful, or that infringes the intellectual property rights of others, and that we will delete or remove any such material. You agree that you will not through any act or omission mislead or deceive others.

You agree we may access, store and use any information that you provide in accordance with the terms of our Privacy Policy. While we may edit and make formatting changes to information you submit to any public areas of the website (such as profiles or reviews), or submit for profile writing services, we will not attempt to modify the meaning of your expression.

2.4 Sharing of your information

You acknowledge that, whether you have provided appropriate consent or not, information and content you share or post through our Services (such as through your profile) may be seen, copied and used by other Members or any others visiting the website.

3.0 User’s responsibilities

You agree to not use this website for any purpose that is unlawful or prohibited by the Agreements.

3.1 Minimum age

You agree that you are at least 18 years old.

3.2 Membership and security

To become a registered SpringUp member, you must provide a login name and password. You are entirely responsible for maintaining the security and confidentiality of your password and login name, and for any and all activities that occur under your login name.

We take care to ensure all personal information you provide to us (including but not limited to your login name, password, payment information and contact details), is protected by our Privacy Policy. However, we will not be held liable should this information be unlawfully observed by a third party via the Internet, while stored on our systems or on our website.

3.3 Payment

You agree to honour all payment obligations and allow us to access and process your payment information, which is protected by our Privacy Policy. If you purchase any of our paid Services, you agree to pay us the applicable fees. Failure to pay these fees or honour any other payment obligation may result in the termination or downgrading of your membership.

Our prices may include added fees and taxes. We may change the prices of our Services at any time, and will notify you of such changes. By continuing to use our Services after the price changes take effect, you accept the new prices. All transactions will be processed in Australian dollars.

Refund Policy

You agree to choose purchases carefully, because we do not give refunds if you simply change your mind or make a wrong decision. A full refund will be provided where services delivered have been wrongly described, are different to the service purchased on the website, or do not perform as advertised. Refunds can be made up to 30 days from purchase and can be requested by contacting us after receiving your purchase, and if approved, will be made via the method of payment used to make your online purchase.

You agree to keep your contact information correct and up to date. SpringUp can provide you with notices in the following ways:

  • Notices on the website,

  • An email sent to an address provided by you, or

  • Through other means including using a mobile number, telephone or mailing address provided by you.

4.0 Third parties

The SpringUp website may provide links to websites operated by third-party entities. These links do not imply we endorse, or are affiliated or associated with linked websites. Your use of these third-parties’ websites is subject to their terms of use and is at your own risk. You agree SpringUp is not responsible for the behaviour, features or content of any third-party website.

5.0 Service availability

We do not guarantee that our website, or services generally available through our website, will be undisrupted or error-free, or that defects in the service will be corrected.

We will not hold responsibility for any loss, disruption or damage to your data or your computer system which may occur whilst using material from our website or other Services. It is recommended that an anti-virus program is used to process all material downloaded from the Internet.

6.0 Disclaimer and limit of liability

Our website may contain inaccuracies or typographical errors. We do not guarantee the accuracy or completeness of the materials or reliability of any advice, opinion, statement or other information displayed or distributed through the website. We disclaim liability for errors and omissions in our website’s content, and reserve the right to correct any such errors or omissions. We may make any other changes to our website and its content at any time without notice.

We will not be held liable for any damages whatsoever (including but not limited to, damages for loss of data, profit earnings or lost opportunities) in any way connected with the use or performance of our services.

We will not be held liable for failures in performance resulting from acts of nature, forces or causes beyond our reasonable control, including but not limited to internet failures, computer equipment failures, unprecedented demand, unprecedented shortages of human resources, and incorrect contact details.

Where liability cannot be excluded, any liability incurred by us in relation to the use of our Services is limited as provided under Section 68A of the Trade Practices Act 1974 (Australian Government).

7.0 Modification of Agreements

7.1 Changes

SpringUp may, at its discretion and at any time, make changes to any part of the SpringUp products, services and Agreements. Any changes to the Agreements are effective once notice of the changes are posted. By continuing to use SpringUp’s Services after those changes are made, you express and acknowledge acceptance of the changes.

7.2 Termination

You or SpringUp may terminate the Agreements at any time with notice to the other. We can stop providing all or any part of our Services to you if you violate our Agreements or otherwise create risk for us. We can also terminate your account, with notice, if no activity on our website is registered under your login name for more than 24 months. You may also end your membership at any time. Upon termination, you lose the right to access or use the Services. The following will survive termination:

  • Any amounts owed by either party prior to termination remain owed after termination;

  • Our, Members’ and/or website visitors’ rights to further share content and information you shared through our services to the extent shared prior to termination.

8.0 Complaints regarding content

Complaints regarding the content of our website must be truthful. We will attempt to notify complainant/s and the Member who posted the concerned content of the receipt of the complaint, and, in appropriate circumstances, disable and/or terminate the accounts of those found to infringe the rights of others or otherwise post unlawful content.

If you have a complaint regarding copyright infringement, contact us via email or mail, submitting the following information:

  • An electronic signature of a person authorised to act on behalf of the owner of the copyrighted work you claim has been infringed;

  • A description of the copyrighted work you claim has been infringed;

  • A description specifying the location on our website of the material you claim is infringing;

  • Your name, phone number and email address;

  • A statement by you that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent or the law;

  • A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on the owner’s behalf.
